Iwata Antique B Font & Clip Studio Comic Font License Agreement

This Iwata Antique B Font & Clip Studio Comic Font License Agreement ("Agreement") is for the use of the Iwata Antique B fonts and Clip Studio Comic fonts (collectively, the "Fonts") included in Clip Studio Paint (“the Product” as defined in the Clip Studio Paint End User License Agreement (“Clip Studio Paint License Agreement”), excluding the Fonts), and the manuals and documents accompanying the Fonts (the "Materials"; the Fonts and Materials are hereinafter collectively referred to as the "Fonts, etc."); entered into by and between CELSYS, Inc. (“Celsys") and the user who wishes to use the Fonts, etc. (the "User").
Celsys licenses the use of the Fonts etc. only to users who agree to this agreement. If the User does not agree to this Agreement, the user may not use the Fonts etc.
When a User installs the Fonts etc. or performs any similar act, Celsys shall deem that the User has agreed to this Agreement, and this Agreement will come into effect. Unless otherwise defined in this Agreement, the terms used in this Agreement shall be defined as set forth in the Clip Studio Paint License Agreement.

1. Permissions

1.1 All copyrights and other intellectual property rights of the Fonts etc. belong to Iwata Corporation (hereinafter, “Iwata”) or Celsys. Based on the rights properly granted by Iwata to Celsys, Celsys authorizes the User to use the Fonts etc. as expressly set forth in this Agreement only if all of the following conditions are met.
(a) The User has acquired, purchased, or applied to use the product in a legitimate manner approved by Celsys.
(b) Celsys recognizes the Product used by the User as a legitimate Product.

1.2 No rights are granted with respect to the Fonts etc. other than those granted in this Agreement.

2. Terms of use

2.1 The terms of use of the Fonts etc. are in accordance with this Agreement and the Clip Studio Paint License Agreement.
2.2 The User may use the Font as textual expression in documents or artistic works to the extent that such use does not fall under any of the prohibitions set forth in the items of Article 3, and may transmit, distribute, transfer, and lend such documents or artistic works publicly (including, for example, publication through a website, etc., and making them available for transmission).

3. Prohibitions

The User is prohibited from performing any of the following acts.
(1) Distribution, transfer, loan, etc. of the electronic data of the Font itself in a state separate and independent from the Product (excluding cases where the Font is used as textual expression in a document or artistic work, and such document or work, etc. is publicly transmitted, distributed, transferred, loaned, etc.);
(2) The act of reproduction, modification (including but not limited to processing, transformation, etc; hereinafter, “Modification”), sublicensing, public transmission, etc. of the Fonts etc. (excluding cases where the Fonts etc. are used as textual expression in a document or artistic work, and such document or artistic work is publicly transmitted, distributed, transferred, loaned, etc.);
(3) Acts of analyzing the Fonts, such as reverse engineering the Font;
(4) An act of public transmission, distribution, transfer, lending, etc. of a document or artistic work created using the Fonts in a state where the Fonts can be clearly extracted from the work in question;
(5) The act of using a Font as the principle design for a product or service by itself, or the act of using or registering it as a trademark, logo, symbol, or image character;
(6) Use of the Fonts etc. by more than one person at the same time, or making the Fonts etc. available for use by more than one person via a network (including, but not limited to, the Internet).
(7) Removing or invalidating technical limits of the Fonts implemented for the purpose of protection of rights, disclosing the methods of such actions; or using (including but not limited to duplicating, modifying, sublicensing, publicly transmitting, assigning, or loaning, etc.) Fonts which have had such technical restrictions removed or invalidated;
(8) Using Fonts for expressions that violate public order or laws; and
(9) Other acts that infringe or may infringe on the intellectual property rights or other rights of Celsys, Iwata, or third parties.

4. Transfer

Users who may transfer the Product in accordance with the Clip Studio Paint License Agreement may transfer the Product and the Fonts etc. to a third party without separating them from the Product, in so far as such transfer is not a violation of Article 3. In such case, the User, as the party transferring the Fonts etc., must fully delete the Fonts etc. from all computers in which the Fonts etc. are installed, before the transfer. The conditions for transfer shall be in accordance with the Clip Studio Paint End User License Agreement.

5. Guarantees

5.1 Celsys and Iwata make no guarantee that the Fonts etc. are suitable for the User's specific purpose of use. The User assumes full responsibility for their selection of the Fonts etc.

5.2 In no event will Celsys' liability, under or in connection with this Agreement, exceed the actual amount paid by the User for the Product, if any (or, in the case of Annual/Monthly Usage Products, the actual amount paid by the User to use the Product over the previous twelve (12) months). However, this shall not apply in the case of intentional damages or gross negligence by Celsys.

6. Cancellation and Termination of the Agreement

6.1 This Agreement will end if any of the following applies.
(1) The User's Clip Studio account has been deleted;
(2) The Annual/Monthly Usage Product or Value Version is canceled.

6.2 If this Agreement ends, the Clip Studio Paint End User License Agreement shall end at the same time. If the Clip Studio Paint End User License Agreement ends, this Agreement shall end at the same time.

6.3 If a User falls under any of the following circumstances, Celsys may immediately terminate this Agreement.
(1) If the terms of this Agreement are violated;
(2) If the terms of the Celsys Terms of Service or other agreements have been violated; or
(3) In the event of late payment of the usage fee.

7. End of Agreement

Upon the end of this Agreement, User must promptly cease all use of the Fonts etc. at User’s own responsibility and delete the Fonts etc. from all devices on which it is installed.

8. Miscellaneous

8.1 This Agreement shall be governed by the laws of Japan. In the case of dispute regarding this Agreement, the Tokyo District Court or the Tokyo Summary Court shall be the exclusive jurisdictional court for the first hearing.

8.2 When using the Fonts etc., the User shall comply with all relevant laws and regulations, including copyright law and export control related laws.

8.3 The provisions of Articles 3, 4, 5, 7, and 8 shall remain in effect even after the end of this Agreement.

8.4 Celsys may change the terms of this Agreement if it deems it necessary in the following cases without individual agreement with the User. In such case, Celsys will notify the User, through the Internet or other appropriate method, of the change of the Agreement, the contents of this Agreement after the change, and the effective period of this Agreement after the change.

9. Certification of Compliance with Terms of Use

The User agrees that, if requested by Celsys or a Celsys representative, the User shall, within 30 days from the date of the request, provide proof or documentation that the User is using the Service in compliance with this Agreement.
